Craig Besnoy is a transactional attorney focused on mergers and acquisitions, strategic investments, and complex commercial agreements, with a particular emphasis on transactions involving technology, data, and regulated businesses. He represents buyers, sellers, founders, and investors in structuring, negotiating, and executing transactions ranging from early-stage investments to middle-market acquisitions.
Craig’s practice is distinguished by his ability to integrate traditional deal-making with a deep understanding of data security, privacy, and operational risk. He routinely advises clients on how issues such as data ownership, cybersecurity exposure, regulatory compliance, and technology infrastructure impact valuation, deal structure, and post-closing liability. As a result, he is frequently brought into transactions where data, intellectual property, or regulatory complexity are central to the deal.
In addition to his M&A practice, Craig advises companies and individuals on strategic partnerships, joint ventures, commercial agreements, and employment and consulting agreements, including SaaS, licensing, and data-sharing arrangements. He works closely with clients to align legal frameworks with business objectives, ensuring that agreements reflect both the economic intent of the parties and the realities of how technology and data are used in practice.
Craig also maintains an active data security and compliance practice, advising companies in highly regulated industries—including financial services, healthcare, and technology—on building and implementing compliance programs aligned with GDPR, CCPA, HIPAA, and industry standards such as NIST and ISO 27001. He is often engaged in connection with transactions, financings, or operational scaling to assess and remediate data-related risks.
Prior to practicing law, Craig held senior executive roles in the technology and media sectors, where he led business development, digital strategy, and corporate transactions. His experience includes leadership positions at Universal Music Group, Vivendi Universal, and Netbiscuits, where he negotiated significant commercial agreements and helped secure substantial investment capital. This background provides him with a practical, business-oriented perspective that informs his approach to transactions and client counseling.
Craig earned his J.D. from the Benjamin N. Cardozo School of Law, where he focused on intellectual property law, and his B.S. in Accounting from the University of Alabama. He is admitted to practice in New York and is accredited by the International Association of Privacy Professionals as a Certified Information Privacy Manager (CIPM) and Certified Information Privacy Professional/United States (CIPP-US).
